Windows 2008R2 DHCP Server Access is Denied

I have installed DHCP on three Windows 2008R2 Domain Controllers.

I plan to split scope between two, back up the full scope and restore to the thrid which will be inactive. A little overkill but seems like areasonable solution for disaster recovery purposes.

None of the three can be started! Each responds with several errors including:

Event ID 1003 The DHCP service failed to initialize its registry parameters. The following error occurred: Access is denied. (5)

Event ID 1008 The DHCP service is shutting down due to the following error: Access is denied. (5)

Did a little research and thought it might have to do with permissions on the DHCP directory under C:\Windows\System32 NETWORK SERVICE

I can set permissions there but not above on the C:\Windows or C:\Windows\System32 directories.  (Gave Modify to that folder and all subfolders and files). Still no joy.

Have DHCP running on several other 2008R2 servers that are DC's in the domain. Migrating from a 2003 Clustered DHCP server to a split scope (1 physical, 1 virtual)

Any help would be appreciated.
